Please read this first. Nuclens is an AI-assisted research and triage tool, not a source of truth. Its outputs — rankings, scores, summaries, literature references, and reports — are generated by artificial intelligence from third-party public data and may be incomplete, out of date, or wrong. Nuclens does not make decisions for you and is not a substitute for independent scientific validation, expert judgment, or clinical, regulatory, or legal assessment. Always verify anything you rely on.

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and EXALTA LLC ("Nuclens," "we," "us," or "our"), the operator of the Nuclens platform and website at nuclens.com (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Nuclens is (and is not)

Nuclens is a software tool that ingests publicly available biological and clinical databases and uses artificial intelligence to help researchers surface, rank, and summarize candidate molecular targets for early-stage radiopharmaceutical research. It is intended as a first-pass triage and research-support aid to help compress manual database review.

Nuclens is not: a medical device; a source of clinical, diagnostic, or treatment advice; a regulatory or safety assessment; an investment or business recommendation; a freedom-to-operate, patent, or legal opinion; or a replacement for wet-lab experiments, primary-source review, or professional judgment.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for the accuracy of your registration information and for maintaining the security of your account credentials. You are responsible for all activity under your account.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Accuracy, no reliance, and your responsibility

This section is important. By using the Service you acknowledge and agree that:

Outputs are produced by AI models and automated processing and can contain errors, omissions, fabricated or mismatched citations, outdated information, and other inaccuracies.
Underlying data is derived from third-party public sources (for example Open Targets, UniProt, the Human Protein Atlas, ClinicalTrials.gov, DepMap, and PubMed/NCBI) which may themselves be incomplete, inconsistent, or out of date, and over which we have no control.
Literature references and PMIDs surfaced by the Service are AI-assisted and must be independently verified before citation or use.
You are solely responsible for evaluating and independently verifying any output before relying on it, and for any decision you make. You must not make any clinical, scientific, regulatory, financial, or business decision based solely on the Service.
Nuclens does not warrant that any target, ranking, score, or report is accurate, complete, current, fit for any purpose, or that any candidate is safe, effective, developable, or non-infringing.

4. Acceptable use

You agree not to:

use the Service for any unlawful purpose or in violation of any applicable law or third-party right;
scrape, bulk-download, resell, redistribute, or create a competing dataset or service from the Service or its underlying data, except as expressly permitted;
reverse engineer, decompile, or attempt to extract source code, models, prompts, or data pipelines, except to the extent permitted by law;
circumvent usage limits, authentication, billing, or security controls;
upload malware or interfere with the integrity or performance of the Service; or
use automated means to access the Service beyond documented interfaces without our prior written consent.

5. Payments, credits, and refunds

Certain features (such as generating full literature or decision reports) require purchased credits or a paid plan. Ranking and browsing may be offered on a free tier subject to usage limits, which we may change.
Payments are processed by our third-party payment processor (Stripe). We do not store your full card details.
Prices, credit amounts, and limits may change at any time. Credits have no cash value and are non-transferable.
Except where required by law, purchases and credits are non-refundable.

6. Intellectual property

The Service, including its software, design, scoring methodology, and compilations, is owned by Nuclens and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal research purposes, subject to these Terms.

Underlying data is derived from third-party sources and remains subject to their respective licenses and terms; your use of such data must comply with those licenses. You retain rights to the criteria and inputs you submit; you grant us a license to process them to operate and improve the Service.

7. Third-party services and data

The Service relies on third-party providers (including cloud hosting, authentication, AI processing, payment processing, and public data sources). Your use may be subject to their terms, and we are not responsible for their acts, omissions, availability, or accuracy. Content you submit may be transmitted to these providers (including AI providers) to deliver the Service.

8. Disclaimer of warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or that outputs will be accurate or reliable.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUCLENS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, RESEARCH INVESTMENT, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR RELIANCE ON ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Nuclens and its personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your reliance on any output.

11. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including 3, 6, 8, 9, 10, and 13) will survive.

12. Changes to the Service and these Terms

We may modify the Service or these Terms at any time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules. The exclusive venue for disputes will be the courts located in the Commonwealth of Virginia, and you consent to their jurisdiction.
